Cygnus | Digital Infrastructure

1. The Managed Infrastructure Model

Cygnus Web Dev provides "Managed Digital Infrastructure." Unlike traditional one-time web design, this is a continuous service encompassing high-velocity hosting, secure backend maintenance, and 100/100 performance monitoring. The service is provided on a subscription basis.

2. Onboarding & Monthly Fees

Deployment requires a one-time Setup Fee of $499 and a recurring Monthly Service Fee of $299 (Standard) or $199 (Professional). Note: For authorized "Founding Partners," the $499 Setup Fee is waived in exchange for the partnership terms outlined in Section 7.

3. Intellectual Property & Ownership Buyout

All custom Python/FastAPI source code and proprietary architecture remain the intellectual property of Cygnus. In the event of service termination, the website will be decommissioned. Full ownership transfer (delivery of source code) is available at any time for a one-time fee of **$3,500 (USD)**.

4. The 12-Month Safety Window (Domain Management)

To recoup initial infrastructure provisioning and registration costs, domains connected to the Cygnus network are subject to the following management terms:

For Waived Setup Fees (Founding Partners): If the Client terminates service within the first 12 months and requests the transfer of a domain name registered or purchased by Cygnus on their behalf, an Early Decommissioning Fee of $500 is required to release the domain. After 12 months, this fee is waived.
For Standard Setup Fees ($499): The Early Decommissioning Fee is waived entirely. The Client may cancel their subscription at any time and transfer their domain name away from Cygnus at no additional cost.
For Client-Owned Domains: If the Client retains direct ownership of their domain registrar account and merely points their DNS to Cygnus, no decommissioning fees apply under any circumstances.

Note: In all cancellation scenarios, the custom website code and database structures remain the exclusive property of Cygnus subject to the Intellectual Property Buyout terms in Section 3.

5. Maintenance Scope (Fair Use)

Subscriptions include up to 2 hours of dedicated maintenance and modifications per month (e.g., text edits, image swaps). Requests exceeding this window or involving new feature development are billed at $100/hr. Unused hours do not roll over.

6. Founding Partner (Lighthouse) Clause

Clients receiving a waived Setup Fee agree to act as a "Lighthouse Case Study." This includes: (a) Consent to feature the project in Cygnus marketing materials, (b) Provision of a brief testimonial upon launch, and (c) Retaining the "Infrastructure by Cygnus" credit in the site footer.

7. Termination & No-Refund Policy

Clients may cancel their subscription at any time via their Client Portal. Due to immediate resource allocation, all payments (Setup and Monthly) are strictly non-refundable. Upon cancellation, infrastructure is decommissioned at the end of the current billing cycle.
