Master Service Agreement

1. Managed Digital Infrastructure
Cygnus Digital provides managed digital infrastructure for local businesses. Unlike traditional one-time website projects, our services include website hosting, technical maintenance, performance monitoring, security updates, search engine optimization, and ongoing support delivered on a recurring subscription basis.
2. Onboarding & Monthly Service Fees
Services may include a one-time Setup Fee and a recurring Monthly Service Fee depending on the selected plan and promotional offers available at the time of purchase.
Pricing and plan details are presented during the onboarding process and are incorporated into this agreement by reference.
3. Intellectual Property & Ownership
All proprietary software, FastAPI source code, deployment systems, automation workflows, backend architecture, and technical frameworks developed by Cygnus Digital remain the intellectual property of Cygnus Digital.
Clients retain ownership of all content supplied by them, including logos, images, business information, written copy, trademarks, and branding assets.
Should a client require full ownership of website source code, infrastructure assets, or deployment systems, a separate ownership buyout agreement may be negotiated.
4. Domain Ownership & DNS Management
Clients are encouraged to maintain ownership of their domain registration accounts whenever possible.
Cygnus Digital may assist with domain configuration, DNS management, hosting integration, and technical setup.
Unless otherwise agreed in writing, ownership of domain names remains with the Client.
Upon cancellation, clients retain the ability to transfer or redirect their domain names to another provider.
5. Maintenance & Support
Active subscriptions include reasonable ongoing maintenance, content updates, technical support, security monitoring, performance optimization, and minor website modifications.
Major redesigns, custom software development, integrations, or substantial feature requests may require a separate quote and project agreement.
6. Search Engine Optimization
Cygnus Digital applies technical SEO best practices including performance optimization, metadata management, structured content, local search enhancements, accessibility improvements, and search-engine-friendly website architecture.
While these practices are designed to improve online visibility and increase opportunities for lead generation, no agency can guarantee specific rankings, positions, traffic volumes, or placement within search engine results.
Search engine rankings depend on numerous factors outside the control of Cygnus Digital, including market competition, geographic location, industry conditions, search engine algorithm changes, and third-party platforms.
7. Founding Partner Program
Clients receiving discounted or waived onboarding fees may be invited to participate as Founding Partners.
Participation may include permission to reference the completed project in Cygnus Digital marketing materials, portfolio showcases, case studies, and educational content.
8. Cancellation & Refund Policy
Clients may cancel their subscription at any time.
Due to the immediate allocation of development resources, infrastructure provisioning, onboarding work, and ongoing service commitments, payments already made are non-refundable unless otherwise required by applicable law.
Upon cancellation, services remain active until the end of the current billing cycle, after which hosted infrastructure may be decommissioned.
9. Limitation of Liability
Cygnus Digital shall not be liable for indirect, incidental, consequential, or special damages arising from the use of its services, including but not limited to loss of revenue, business interruption, loss of data, or changes in search engine rankings.
